Terms of Service

Please read these terms carefully. By creating an account or using SecureVault, you agree to be bound by these Terms of Service. If you do not agree, do not use the platform.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Client", or "you") and SecureVault Technologies Inc. ("SecureVault", "we", "us", or "our"), governing your access to and use of the SecureVault document management platform available at app.securevault.ca and securevault.ca (collectively, the "Platform").

By registering for an account, clicking "I agree", or otherwise accessing or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Services

SecureVault provides a cloud-based secure document management platform designed for regulated professionals in Canada, including but not limited to law firms, accountants, healthcare providers, financial advisors, and government entities. Services include:

All data is stored exclusively on Canadian servers. We do not store or process your data outside of Canada.

3. Accounts and Registration

To access the Platform, you must register for an account by providing accurate, current, and complete information. You are responsible for:

You may not share your account credentials with third parties. Each user must have their own account. We reserve the right to suspend or terminate accounts that we believe are being shared or used in violation of these Terms.

You must be at least 18 years of age to create an account. By registering, you represent that you meet this requirement.

4. Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not use the Platform to:

We reserve the right to remove any content that violates these Terms and to suspend or terminate accounts responsible for such violations.

5. Data Ownership and Intellectual Property

Your data is yours. You retain full ownership of all documents, files, and data you upload to the Platform ("Your Content"). We claim no intellectual property rights over Your Content.

By uploading content to the Platform, you grant us a limited, non-exclusive, royalty-free license to host, store, transmit, and process Your Content solely for the purpose of providing the services to you. This license terminates when you delete the content or close your account.

We will not access, use, analyze, or disclose Your Content except: (a) as necessary to provide the services, (b) as required by applicable law or court order, or (c) with your explicit consent.

The Platform itself, including its software, design, trademarks, and documentation, is owned exclusively by SecureVault Technologies Inc. and is protected by Canadian and international intellectual property laws.

6. Billing and Payments

Paid subscriptions are billed monthly or annually in advance, in Canadian dollars (CAD), plus applicable taxes (GST/HST). Payment is processed securely through Stripe. By providing payment information, you authorize us to charge your payment method for all applicable fees.

Renewals: Subscriptions automatically renew at the end of each billing period. You may cancel at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period — you retain access until then.

Failed payments: If a payment fails, we will notify you by email and attempt to retry the charge. After three failed attempts over 10 days, your account will be suspended. Your files will be preserved for 10 additional days, after which your account and all associated data will be permanently deleted.

Refunds: We do not offer refunds for partial billing periods. If you believe a charge was made in error, contact us within 30 days at support@securevault.ca.

Price changes: We will provide at least 30 days' notice of any price increases via email. Continued use of the Platform after the effective date constitutes acceptance of the new pricing.

We offer a 14-day free trial with full access to the Platform. No credit card is required to start a trial. At the end of the trial period:

While we take security seriously, no system is 100% secure. You acknowledge that you use the Platform at your own risk and that we cannot guarantee absolute security. You are responsible for maintaining the confidentiality of your login credentials and for any activities that occur under your account.

In the event of a data breach affecting your information, we will notify you as required under PIPEDA and applicable provincial privacy laws, within 72 hours of becoming aware of the breach where feasible.

9. Service Availability

We strive to maintain Platform availability of 99.5% uptime, excluding scheduled maintenance. We will provide advance notice of planned maintenance where reasonably practicable. We are not liable for any downtime or service interruptions caused by circumstances beyond our control, including internet outages, third-party service failures, or force majeure events.

10. Termination

By you: You may terminate your account at any time by contacting support or using the account deletion feature. Upon termination, your data will be deleted within 30 days unless a longer retention period is required by law or by an active legal hold.

By us: We may suspend or terminate your account immediately and without notice if we determine, in our sole discretion, that you have violated these Terms, are engaged in fraudulent activity, or if continued access poses a risk to the security or integrity of the Platform or other users.

Upon termination for any reason, your license to use the Platform terminates immediately. Provisions of these Terms that by their nature should survive termination will continue to apply, including sections on data ownership, limitation of liability, and governing law.

11. Limitation of Liability

To the maximum extent permitted by applicable Canadian law, SecureVault Technologies Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business, arising out of or relating to your use of the Platform, even if we have been advised of the possibility of such damages.

Our total liability to you for any claims arising out of or relating to these Terms or the Platform shall not exceed the total amount paid by you to us in the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under applicable law.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario.

We serve clients across all Canadian provinces and territories. Where applicable, provincial consumer protection legislation in your province of residence may also apply and is not displaced by these Terms.

These Terms are written in English and are available in French upon request. In the event of any conflict between language versions, the English version shall prevail to the extent permitted by applicable law.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email at least 14 days before the changes take effect. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms.

If you do not agree to the revised Terms, you must stop using the Platform before the effective date and may request deletion of your account.
